Terms of Service
Last changed · In force from 12 October 2026
These terms are the agreement between SisleLabs OOD ("Puncho", "we") and the business that uses Puncho ("you"). Puncho is sold to businesses: agencies and brands that run paid ads on Meta. It is not offered to consumers.
Who we are
Puncho is run by SisleLabs OOD, EIK 208739066, VAT number BG208739066, registered at 4 Deseta Street, 4415 Zvanichevo, Bulgaria. Write to us at support@puncho.app.
What Puncho does
Puncho is a workspace for making and running Meta ads. In it you keep each client brand's material, write briefs, have an AI model draft ad concepts and designs, review them, launch the ones you approve to your Meta ad account, and read the results.
Each brand is a project. Its material, concepts and results stay in that project and are not mixed with another brand's.
Accounts and workspaces
A workspace belongs to one business. We make the workspace and send its first owner an invitation link. After that, an owner or admin invites the other people with links of their own, and each person sets a name and a password. Nobody can sign up without an invitation.
You answer for what the people in your workspace do there. Keep passwords and API tokens secret. A token can do what its owner can do through an agent, so treat it like a password, and revoke it in Settings when it is no longer needed.
Tell us at once if you think someone else has used an account in your workspace.
Your Meta account and your ads
The ads are yours. Puncho creates them in the Meta ad account, and under the Facebook Page and Instagram account, that you give Puncho access to. Your agreement with Meta is between you and Meta, and we are not a party to it.
You are responsible for:
- every ad you approve, and every post you schedule: its words, its picture, its claims, its targeting and where it links;
- having the right to act for each brand, ad account and Page you connect;
- following Meta's terms and advertising policies, and the law that applies to your ads, including rules on special ad categories;
- what your ads spend. Meta charges you for ad spend. We never receive or handle that money.
We do not review your ads for compliance with the law or with Meta's policies. Puncho checks ad copy against a list of banned words and Meta's length limits. That check is a help and it does not replace your own review.
Meta can reject an ad, restrict an account or change its API at any time. We are not responsible for what Meta decides.
Nothing spends without a person
Puncho is built so that an AI model cannot spend your money on its own judgement:
- every campaign, ad set and ad is created paused;
- a person in your workspace approves each ad before it can be launched;
- switching an ad on is a separate step taken by a person, in Puncho or in Meta Ads Manager;
- a daily spend ceiling is checked before any budget is sent to Meta;
- an organic post goes out only after a person schedules it.
These are how the product works. They are not a promise that it has no faults. Check the budget, the audience and the account of each campaign before you switch it on, and set an account spending limit in Meta as well.
Agents and apps you connect
You can connect your own AI app or agent to your workspace, such as Claude, ChatGPT or Gemini, with a personal API token or by approving the app when it asks. An agent you connect acts under the account of the person who connected it and can read and change that workspace.
You choose that app, and its maker handles the data it reads under your agreement with them. We do not control it and are not responsible for what it does with what it reads. You can disconnect an app or revoke a token in Settings at any time.
AI-generated output
Concepts, copy and pictures in Puncho are drafted by AI models. They can be wrong, misleading, similar to someone else's work, or unsuitable for your brand. A model can state something about a product that is not true.
You decide what runs. Read every word and look at every picture before you approve an ad. We do not promise that generated output is accurate, original, free of other people's rights or fit to publish.
What the models generate for you is yours. We claim no rights in it, and any right we receive in it from a model's maker we pass on to you. Copyright law does not protect every AI-made work in every country, so we do not promise that the output is protected.
We do not use your content to train AI models. We reach every model through its maker's paid API, on terms under which the maker does not train on what we send or on what it returns. The sub-processor list names each one and how long it keeps data.
Your content
Your content is everything you or your agents put into a workspace: brand material, logos, product photos, fonts, writing samples, briefs, references, finished ads and videos. It stays yours.
You give us permission to store, copy and process it only as needed to run Puncho for you. That includes sending it to the companies on our list of sub-processors and to the Meta account you give Puncho access to.
You confirm that you have the right to put it there. That covers:
- material from a client: you have the client's permission;
- a website you ask Puncho to read: it is the brand's own site, or you may use what is on it;
- reference ads from other advertisers: you use them as references only;
- fonts you upload: your licence covers this use;
- any personal data in it: you have a lawful reason to hold it. See Data protection.
Plans and prices
Puncho is sold as a monthly plan. A plan sets how many client brands, seats and finished ads a month a workspace has. The plans and their current prices are shown on the billing page of your workspace.
- Prices are in euro, per month, and exclude VAT.
- A finished ad is a concept designed at both sizes and exported for approval. It counts once. Revisions, ideas that are never designed and imported ads do not count.
- The allowance of finished ads is shared across the brands in the workspace and resets each billing period. Unused ads do not carry over.
- The Operator is an optional second line on the invoice: we run the generation for you, where otherwise your own AI model does.
When a plan's limit is reached, Puncho refuses the next new brand or new design until the period resets or you change plan. A design already started is not stopped.
Payment and VAT
Card payments are taken by Stripe, monthly and in advance. We do not see or store your card number. We can also agree to bill by invoice.
VAT is added where the law requires it:
- a customer in Bulgaria is charged Bulgarian VAT;
- a business in another EU country that gives a valid VAT number is not charged VAT, and the invoice is issued under the reverse charge;
- a customer outside the EU is not charged VAT.
Checkout asks for your company's name, address and company or VAT number, because a tax invoice needs them. If a VAT number you gave turns out to be invalid, we may correct the invoices and charge the VAT that was due.
If you change plan during a billing period, the difference is prorated on your next invoice.
Refunds
You can ask for a refund within 3 days of buying a plan, and only if the workspace has not been used in that time. Once anyone in it has created a brand, a board or anything else, the plan is not refunded.
Nothing else is refunded. A plan you cancel runs to the end of the period you have paid for.
Price changes
We may raise our prices, for example when the maker of an image model raises theirs. We will tell the owners of each workspace by email at least 14 days before a higher price applies to them.
If a price you pay rises by more than 25%, you can cancel before the higher price applies and never pay it. Your plan then runs to the end of the period you have already paid for, at the price you paid. Nothing is refunded.
When a payment fails or a plan ends
If a payment fails, Stripe retries it. Nothing is taken away while it retries.
When a plan ends, because you cancelled or because payment could not be collected:
- Puncho refuses new brands and new designs;
- everything already in the workspace stays there and can still be read;
- nothing on Meta is paused, changed or removed by us. Ads that are running keep running and keep spending until you stop them, in Puncho or in Meta Ads Manager.
Stopping ads you no longer want is your job, whether your plan is active or not.
Cancelling
You can cancel at any time from the billing page, which opens Stripe's payment settings. The plan then runs to the end of the period you have paid for and does not renew.
We may suspend or end your access if you break these terms, if payment stays overdue, or if your use puts Puncho or other customers at risk. Where we can, we will tell you first and give you time to put it right.
If we end the agreement and you have done nothing wrong, we will tell the owners of your workspace by email at least 31 days before it ends. You can use Puncho until that date, and we will not charge you for any time after it.
What happens to your data when you leave
Your data is yours to take and to remove. You can have everything in your workspace exported, and you can have your account and your workspace deleted. Once they are deleted we keep nothing of them, apart from the invoices that tax and accounting law makes us keep.
Today we do both for you: write to support@puncho.app. Buttons in the app that do the same are being built.
You can already delete a project yourself, with everything on its board, unless one of its ads has reached Meta. Spend and results are recorded against those ads, so Puncho refuses to delete that project. Ask us and we will remove it.
The Data Processing Agreement says how we handle personal data in a workspace when the agreement ends.
Deleting data in Puncho does not delete anything in your Meta account.
Acceptable use
Do not:
- use Puncho to make ads that are unlawful, deceptive or that break Meta's policies;
- put in material you have no right to use;
- try to reach another customer's workspace, or get around a limit, an approval step or a spend ceiling;
- share one seat between several people, or resell access without our agreement;
- probe or overload the service, or use it to attack anything else.
Availability and changes
We work to keep Puncho available, and we do not promise that it always will be. We offer no service level. Puncho depends on services we do not run: Meta, the AI model providers, Stripe and our hosting. Any of them can fail or change.
We change the product often. If a change removes something you rely on, we will tell you ahead where we can.
Data protection
Our Privacy Policy says what we do with the personal data of the people who use Puncho. For that data we are the controller.
A workspace can also hold personal data that you or your client decide to put there, such as a name in a brief or a person in a photo. For that data you or your client are the controller and we are your processor. The Data Processing Agreement covers it and is part of these terms.
Liability
What these terms do not limit. Nothing here limits liability for intent or gross negligence, or any other liability the law does not allow to be limited.
You start every campaign. Puncho never switches an ad on by itself. You check each campaign and start it yourself, so what it says, whom it reaches and what it spends are yours to answer for.
What we are not liable for. As far as the law allows, we are not liable for:
- what your ads spend, how they perform, or what Meta decides about an ad or an account;
- generated output you approved, launched or published;
- what an app or agent you connected does;
- a failure or change at Meta, an AI model's maker, Stripe or our hosting provider;
- lost profit, lost revenue, lost business or goodwill, or any indirect loss.
The limit. For everything else, our total liability to you in any 12 months is limited to what you paid us for Puncho in the 12 months before the event the claim arises from.
Claims about your ads and your content. If someone brings a claim against us because of an ad you approved, a post you scheduled, content you put into a workspace, or your breach of Meta's terms or the law, you will cover the costs and damages we bear because of it. We will tell you about the claim promptly and let you take over its defence.
Events outside our control. Neither of us is liable for failing to do something under these terms because of an event outside our reasonable control, such as a failure of the internet or of a service named above, a natural disaster, war, or an act of a public authority. The duty to pay for a period already used is not excused.
Changes to these terms
We may change these terms. We will post the new version here with its date and tell the owners of each workspace by email at least 7 days before it takes effect.
If you do not accept a change, cancel your plan before it takes effect. Using Puncho after that date means you accept the new terms.
Governing law
These terms are governed by the law of the Republic of Bulgaria. Disputes go to the competent court in Pazardzhik, Bulgaria.
